We hereby announce that TRANS GENIC INC. (headquartered in Kumamoto Japan, CEO: Ken-ichi Yamamura, hereinafter referred to as “we”) has concluded as of April 9, 2009 a marketing agreement with Transposagen Biopharmaceuticals, Inc., (headquartered in Pennsylvania, U.S.A., CEO: Eric Ostertag, M.D., Ph.D., hereinafter referred to as “Transposagen”), for the non-exclusive rights to market Transposagen’s products in Japan.

Transposagen is an American company which cyclopaedically produces a large variety of knockout rats by using a technology called “mobile DNA” and distributes them to pharmaceutical and academic customers.

With the help of business and investment networks of the largest trading company in Japan, we have been looking for foreign bio-tech companies to introduce their technologies, products and services to the Japanese market. The agreement with Transposagen is the fourth achievement made through these efforts. We will start marketing activities to promote Transposagen’s products based on the agreement.

In our knockout mouse business, we have been distributing approximately 2,700 lines developed with our unique technology of exchangeable gene-trap method (TG Resource Bank®) and approximately 900 lines produced by an American company, Deltagen, Inc., as well as providing custom production service of knockout mice. Adding Transposagen’s products to our product and service lineup of knockout animals will bring about greater synergy in our sales, leading to more profit-earning opportunities. Transposagen will continuously develop knockout rats to increase the number of lines they can offer.

The impact of this agreement on our business performance is immaterial.
