Notice of Capital and Business Tie-up with Kajitsudo |

We hereby notify that at the Board of Director's meeting held on April 20, 2009, it was resolved that TRANS GENIC INC. (headquartered in Kumamoto, Japan, CEO: Ken-ichi Yamamura, hereinafter referred to as "we") acquires stake in and forms a tie-up with Kajitsudo Co., Ltd. (headquartered in Kumamoto, Japan, CEO: Tsuyoshi Ide, hereinafter refereed to as "Kajitsudo"), an organic baby leaf (*) distributor, for the purpose of mutual sustainable development. |

(1) Purpose of Capital and Business Tie-up |

Knockout mouse business and antibody business are two pillars of our business. The former covers licensing use rights for information of knockout mice and custom production service. The latter covers development, production and distribution of antibodies, licensing use rights for technologies to produce high-affinity antibodies and custom production service of antibodies and proteins. Our mission is to contribute to society by offering genetic information useful for basic researches and new drug development and discovering innovative seeds for diagnostic reagents.
Kajitsudo, on the other hand, has focused on “baby leaves” which have attracted attention as nutritious ingredients beneficial for preventive medicine, from a perspective of their technology related to functional analysis of food. Now Kajitsudo distributes baby leaves in accordance with the Japanese Agricultural Standard for Organic Agricultural Products by introducing a strict traceability system with identification number. The produce has highly satisfied their customers including major department stores and mass retailers.
This tie-up will enable us to expand business fields by using the Kajitsudo’s functional analysis technology and quality control capability to keep the rigorous traceability system. We believe it will generate synergistic effects in businesses for both TRANS GENIC and Kajitsudo, leading mutual further development.

Pursuing synergistic effects between our technologies (DNA and genome functional analysis and diagnostic technology with antibodies) and the Kajitsudo’s functional analysis technology, we will take actions to expand business field relating to safety assessment and functional analysis of food.
Our mid- and long-term goal is to enter into a field of nutrigenomics and preventive medicine in which relations among nutrition, genes and diseases are studied.
Further details will be discussed and settled in the “Joint Project Promotion Committee (tentative)” set up by the two companies. |
